INTERMEDIARY SERVICE PROVIDER MEMBERSHIP AGREEMENT

1. PARTIES AND PURPOSE OF, THE AGREEMENT

This agreement is entered into between MKA İthalat İhracat LTD ŞTİ, Tax No: 6222292318 (Intermediary Service Provider), located at Ziya Gökalp Mahallesi Süleyman Demirel Boulevard. The Office No:7E No:89 Başakşehir - Istanbul, owner of the www.turkishmarketer.com Platform, and you (member).

The agreement governs the Member's use of services offered on turkishmarketer.com (Platform), and it defines the rights and obligations of the parties, and sets forth the payment conditions.

2. SUBJECT OF THE AGREEMENT

MKA İthalat İhracat LTD ŞTİ, as the owner of the turkishmarketer.com Platform, provides services as an Intermediary Service Provider in accordance with Law No. 6563 on the Regulation of Electronic Commerce. The intermediary service provider owns the turkishmarketer.com website. The site is merely a platform and is neither the owner nor the provider of services offered by Members on the website. Under Article 6/4 of the Regulation on Service Providers and Intermediary Service Providers in Electronic Commerce, the site is an intermediary service provider and is not obligated to monitor, control, or investigate the content or services offered by individuals or legal entities using the platform, unless deemed necessary.

By entering into this agreement, the Member aims to utilize the services offered on the Platform and engage in activities to sell/purchase products and/or services with other Buyers/Sellers. The Intermediary Service Provider facilitates online interaction between the Member and other Members or third parties through the website.

This Membership Agreement only regulates the legal relationship between the Member and the Intermediary Service Provider. Transactions between the Member and other Members and/or Buyers/Sellers are subject to legal regulations, and the Intermediary Service Provider assumes no responsibility for such transactions. The Member acknowledges, declares, and undertakes that they are responsible for transactions conducted on the Platform in accordance with the Consumer Protection Law, Turkish Code of Obligations, Turkish Commercial Code, and Distance Sales Agreement Regulations, and that the Intermediary Service Provider bears no responsibility.

3. RESPONSIBILITIES, RIGHTS, AND OBLIGATIONS

The Intermediary Service Provider is not the Buyer/Seller of the products or services listed on the Platform. As an "Intermediary Service Provider" under Law No. 6563 on the Regulation of Electronic Commerce and a "hosting provider" under Law No. 5651 on Regulation of Publications on the Internet and Combatting Crimes Committed by Means of Such Publications, it has no obligation to monitor, supervise, or control content it has not published. Relationships between Buyers and Sellers are entirely their responsibility.

The Intermediary Service Provider may block, suspend, or remove any content it deems inappropriate to protect Members' interests. The Member accepts, declares, and undertakes that they are responsible for any damages caused to the Platform, other Members, or third parties due to the content they publish.

The Intermediary Service Provider has no role in transactions conducted on the Platform, and all responsibility rests with the Member. The Member acknowledges this explicitly. Members are also responsible for the products and services listed, including compliance with legal requirements and after-sales obligations. Any damages incurred by the Intermediary Service Provider due to such activities will be the Member's responsibility.

Upon request by public authorities, Member information will be disclosed in accordance with legal regulations. Information regarding disputes between Members or third parties may also be shared within legal boundaries to ensure the security and integrity of the Platform.

The Intermediary Service Provider may modify this Membership Agreement, Privacy and Personal Data Protection Policy, Cookie Policy, and other policies at any time, provided it complies with applicable laws and informs Members via the Platform. Existing terms remain in effect unless altered. The Member may not unilaterally amend this agreement.

The Member is responsible for maintaining confidentiality and security of their account, username, and password. Transactions conducted using these credentials are binding. Members may not share credentials or transfer their accounts to others. Any misuse resulting in penalties or damages will be fully compensated by the Member.

The Member agrees to comply with this agreement, legal regulations, and ethical business practices. They also undertake not to provide false information, mislead others, or use fake identities.

Intellectual property rights related to the Platform, including domain names, logos, designs, images, and software, belong to the Intermediary Service Provider. Unauthorized use, copying, or modification is prohibited.

4. FEES AND PAYMENT

The Member agrees to pay the Intermediary Service Provider a service fee according to the plan in USD for services rendered through the Platform. Fees are determined based on the duration and amount specified. Payments made in currencies other than USD will be converted based on the Central Bank of the Republic of Turkey's exchange rates. Failure to pay may result in suspension or termination of the agreement.

5. TERMINATION AND AUTOMATIC RENEWAL

The agreement may be terminated unilaterally at any time by either party. Fees paid are non-refundable, and services will continue until the end of the term. Written notice is required for termination. If no notice is given 30 days before the agreement's expiration, it will automatically renew under the same terms and updated fees.

6. DATA PROTECTION

The Intermediary Service Provider will process, protect, and secure personal data provided by the Member in compliance with Law No. 6698 on the Protection of Personal Data and other applicable laws. Personal data may be shared with Platform affiliates for marketing and promotional purposes.

7. FORCE MAJEURE

Events such as martial law, emergencies, social unrest, embargoes, strikes, cyber-attacks, infrastructure failures, natural disasters, and other uncontrollable events shall release the Intermediary Service Provider from obligations under this agreement. Such events will not constitute a breach of contract.

8. GENERAL PROVISIONS

In disputes, records and data stored by the Intermediary Service Provider shall serve as conclusive evidence. Turkish law applies, and disputes will be settled in Istanbul Çağlayan Courts.

The Member must update the Intermediary Service Provider of any changes to their contact information. Notices sent to the recorded contact details shall be deemed valid.

Rights and obligations under this agreement may not be transferred without prior written consent.

This agreement, consisting of 8 articles, takes effect upon signing with a wet signature or electronic signature.
